Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Uraeus website (uraeus.io) and products (ThreatZ, SentraX) operated by Uraeus LLC.

1. Acceptance of Terms

By accessing our services, you agree to be bound by these Terms. If you do not agree, you may not use our services.

2. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

3. Permitted Use

You may use our products solely for lawful purposes and in accordance with your subscription plan. You may not: reverse engineer, decompile, or disassemble any part of our software; use the service to develop competing products; share your account credentials with unauthorized users.

4. Intellectual Property

All content, features, and functionality of our products are owned by Uraeus LLC and protected by international copyright, trademark, and trade secret laws.

5. Subscription & Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You may cancel at any time, but no refunds will be issued for the current billing period. Pricing is subject to change with 30 days' notice.

6. Data Ownership

You retain all ownership rights to the data you upload or create within our platforms ("Customer Data"). Uraeus LLC does not claim ownership of your Customer Data. We process your data solely to provide and improve the services you have subscribed to, and we will not access, use, or share your Customer Data for any purpose other than to deliver the services, unless required by law or with your explicit consent.

7. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Uraeus LLC does not warrant that the services will be uninterrupted, error-free, or that all defects will be corrected.

8. Limitation of Liability

To the maximum extent permitted by law, Uraeus LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total aggregate liability under these Terms shall not exceed the amount you paid to Uraeus LLC during the twelve (12) months immediately preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Uraeus LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from: (a) your violation of these Terms; (b) your use of the services; or (c) your violation of any third-party rights.

10. Termination & Data Return

Either party may terminate the subscription by providing 30 days' written notice before the end of the current billing period. Upon termination: (a) your access to the services will be suspended; (b) you may request an export of your Customer Data within 30 days of termination; (c) after 30 days, Uraeus LLC will delete your Customer Data from active systems (backups may be retained for up to 90 days per our data retention policy). Termination does not relieve you of your obligation to pay any outstanding fees.

11. Service Level Agreement

Uraeus LLC targets 99.9% uptime for its cloud-hosted services, measured monthly (excluding scheduled maintenance). If uptime falls below this target, affected customers on the Professional or Enterprise plans may request service credits. Service credits are capped at 10% of the monthly fees for the affected service month. Claims must be submitted within 30 days of the incident. This SLA does not apply to beta features, self-hosted deployments, or outages caused by factors outside Uraeus LLC's control.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or cyberattacks.

13. Data Processing Addendum

For customers who process personal data through our platforms, a Data Processing Addendum (DPA) compliant with GDPR Article 28 is available upon request. To obtain a DPA or our current list of sub-processors, contact dpo@uraeus.io.

14. Acceptable Use Policy

You may not use the services to: (a) upload malicious code, viruses, or harmful content; (b) attempt to gain unauthorized access to other accounts, systems, or networks; (c) engage in activities that violate applicable laws or regulations; (d) store or process data in violation of export control or sanctions regulations; (e) perform load testing, penetration testing, or vulnerability scanning without prior written authorization; or (f) resell, sublicense, or redistribute the services without express written permission.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the courts of Delaware, USA. For customers located in the European Economic Area, mandatory consumer protection laws of your jurisdiction shall apply to the extent they override Delaware law.

16. Changes to Terms

Uraeus LLC reserves the right to update these Terms at any time. We will notify you of material changes by email or through the platform at least 30 days before they take effect. Your continued use of the services after the effective date constitutes acceptance of the updated Terms.
